ДОГОВОР-ОФЕРТА НА ОКАЗАНИЕ УСЛУГ

ПРЕДЛОЖЕНИЕ О ПРЕДОСТАВЛЕНИИ УСЛУГ

Индивидуальный предприниматель B.BEISEU (БИН/ИИН: 860606400564), именуемый в дальнейшем «Исполнитель», публикует настоящий договор-оферту на оказание информационных услуг.
Любое физическое или юридическое лицо, принявшее условия настоящего договора-оферты (далее — «Заказчик»), тем самым заключает с Исполнителем договор на нижеследующих условиях.

1. Общие положения
1.1. Настоящий документ является публичной офертой в соответствии со статьей 395 Гражданского кодекса Республики Казахстан.
1.2. Публикация данного договора на сайте www.prob2b.kz является предложением заключить договор.
1.3. Акцептом считается факт оплаты Заказчиком инвойса/счета, выставленного Исполнителем.
1.4. Акцепт оферты означает полное и безоговорочное принятие Заказчиком всех условий настоящего договора.

2. Предмет договора
2.1. Исполнитель предоставляет Заказчику доступ к цифровой платформе ProB2B.KZ, в частности к разделу «Инвестиционные проекты».
2.2. Объем, функциональность и продолжительность доступа определяются в соответствии с согласованным тарифным планом.

3. Условия оказания услуг
3.1. Доступ предоставляется в электронном виде через личный кабинет на сайте www.prob2b.kz или иным способом, согласованным сторонами.
3.2. Срок оказания услуг составляет 12 (двенадцать) месяцев с даты зачисления оплаты на расчётный счёт Исполнителя, если иное не предусмотрено выбранным тарифом.
3.3. Заказчик самостоятельно несет ответственность за сохранность логинов, паролей и других средств доступа.
3.4. Услуга считается оказанной в момент предоставления доступа.

4. Стоимость и порядок оплаты
4.1. Стоимость услуг определяется согласно согласованному тарифу на момент оплаты.
4.2. Оплата осуществляется на основании выставленного счета.
4.3. Оплата производится авансом и в полном объеме.
4.4. Возврат оплаченных средств не производится, за исключением случаев, предусмотренных законодательством Республики Казахстан.
4.5. Все расходы, связанные с оплатой (банковские комиссии и пр.), несёт Заказчик.

5. Права и обязанности сторон
5.1. Обязанности Исполнителя:
Предоставить Заказчику доступ к платформе в срок не более 2 рабочих дней после получения оплаты;
Обеспечивать функционирование платформы, включая техническую поддержку.
5.2. Обязанности Заказчика:
Не использовать полученные данные в противоправных целях;
Не передавать доступ третьим лицам без письменного согласия Исполнителя;
Соблюдать условия настоящего договора и законодательства Республики Казахстан.

6. Ответственность сторон
6.1. Стороны несут ответственность за невыполнение условий настоящего договора в соответствии с законодательством Республики Казахстан.
6.2. Исполнитель не несёт ответственности за последствия использования информации с платформы.
6.3. Исполнитель не несёт ответственности за невозможность доступа, вызванную сбоями в работе интернет-провайдеров, оборудования Заказчика или форс-мажорными обстоятельствами.

7. Политика конфиденциальности
7.1. Исполнитель обрабатывает персональные данные Заказчика в соответствии с законодательством Республики Казахстан.

8. Изменение условий договора
8.1. Исполнитель вправе вносить изменения в настоящую оферту в одностороннем порядке.
8.2. Актуальная редакция договора размещается на сайте www.prob2b.kz и вступает в силу с момента её публикации.
8.3. Продолжение использования услуг после изменения условий считается согласием с новыми условиями.

9. Срок действия договора
9.1. Договор вступает в силу с момента оплаты Заказчиком услуг и действует до окончания срока действия доступа.
9.2. В случае повторной оплаты договор продлевается автоматически.

10. Урегулирование споров
10.1. Все споры и разногласия разрешаются путем переговоров.
10.2. В случае недостижения соглашения — в судебном порядке в соответствии с законодательством Республики Казахстан.

Individual Entrepreneur B.BEISEU (BIN/IIN: 860606400564), hereinafter referred to as the "Executor", hereby publishes this Service Agreement Offer for the provision of information services.
Any individual or legal entity that accepts the terms of this offer (hereinafter referred to as the "Customer") thereby enters into an agreement with the Executor under the terms set out below.

1. General Provisions
1.1. This document constitutes a public offer in accordance with Article 395 of the Civil Code of the Republic of Kazakhstan.
1.2. The publication of this agreement on the website www.prob2b.kz is an offer to conclude a contract.
1.3. Acceptance of the offer is confirmed by the Customer’s payment of the invoice issued by the Executor.
1.4. Acceptance of the offer implies full and unconditional acceptance of all the terms of this agreement by the Customer.

2. Subject of the Agreement
2.1. The Executor provides the Customer with access to the digital platform ProB2B.KZ, in particular to the "Investment Projects" section.
2.2. The scope, functionality, and duration of access are determined in accordance with the agreed tariff plan.

3. Terms of Service
3.1. Access is provided electronically via a personal account on www.prob2b.kz or by another method agreed upon by the parties.
3.2. The duration of service provision is 12 (twelve) months from the date the payment is credited to the Executor’s bank account, unless otherwise specified in the selected tariff.
3.3. The Customer is solely responsible for keeping login credentials and access information secure.
3.4. The service is considered rendered at the moment access is provided.

4. Fees and Payment Terms
4.1. The cost of services is determined according to the applicable tariff at the time of payment.
4.2. Payment is made on the basis of the issued invoice.
4.3. Payment is made in advance and in full.
4.4. No refunds are provided, except as required by the laws of the Republic of Kazakhstan.
4.5. The Customer shall bear all costs related to the payment (bank fees, commissions, etc.).

5. Rights and Obligations of the Parties
5.1. The Executor undertakes to:
Provide the Customer with access to the platform within 2 working days after receiving the payment;
Ensure the operation of the platform, including technical support.
5.2. The Customer undertakes to:
Not use the obtained data for illegal purposes;
Not share access credentials with third parties without written permission from the Executor;
Comply with the terms of this agreement and the laws of the Republic of Kazakhstan.

6. Liability of the Parties
6.1. The Parties are liable for failure to fulfill their obligations under this agreement in accordance with the legislation of the Republic of Kazakhstan.
6.2. The Executor is not responsible for the consequences of using the information from the platform.
6.3. The Executor is not responsible for access issues caused by third-party internet providers, Customer’s equipment failures, or force majeure.

7. Privacy Policy
7.1. The Executor processes the Customer's personal data in accordance with the legislation of the Republic of Kazakhstan.

8. Amendments to the Agreement
8.1. The Executor has the right to amend this offer unilaterally.
8.2. The current version of the agreement is published on the website www.prob2b.kz and becomes effective from the moment of publication.
8.3. Continued use of the services after changes to the terms implies acceptance of the updated conditions.

9. Term of the Agreement
9.1. The agreement becomes effective upon payment by the Customer and remains valid until the end of the access period.
9.2. In case of repeated payment, the agreement is automatically extended.

10. Dispute Resolution
10.1. All disputes and disagreements shall be resolved through negotiation.
10.2. If no agreement is reached, disputes shall be resolved in court in accordance with the legislation of the Republic of Kazakhstan.
